Board Members Present: Timothy Hays, Chair; Seth Segall, Secretary; Darra Boyd, Member;
Andrea Reed, Alternate Member; Sharon Makower Esq., Alternate Member.
Also Present: Joseph S. Malara, Esq., Volunteer Counsel; Amanda Magana, Esq., First Deputy Town
Attorney; Ms. Barbara Marciante, Official Court Reporter.
1) The meeting was convened at 6: 34 p.m. The roll was called and a quorum of the Board of
Ethics (BoE) was present. It is noted that Alternate Member Reed has full voting privileges
today in Ms. Holand’s absence.
2) AGENDA: Secretary Segall moved that the agenda be adopted and Ms. Reed seconded the
motion. The agenda was unanimously adopted.
3) MINUTES: Secretary Segall moved to amend the draft 6/25/26 minutes to include omitted
relevant correspondence. Ms. Boyd then moved to accept the minutes of the 6/25/26 meeting
as amended and Chair Hays seconded the motion. The minutes were unanimously accepted
as amended.
4) ETHICS TRAINING: First Deputy Town Attorney Magana reported that all employees
and all except one Housing Authority board member have completed their mandated ethics
training. There are also mandated persons who are due for training in July. The Town
Attorney’s Office will follow up on the person who is out of compliance.

Also Present: Joseph S. Malara, Esq., Volunteer Counsel; Amanda Magana, Esq., First Deputy
Town Attorney; Ms. Jillian Marciante, Official Court Reporter; Detective Michael Marino,
Greenburgh Police Department.
1) The meeting was convened at 6:37 p.m. The roll was called, and a quorum of the Board
of Ethics (BoE) was present.
2) AGENDA:
Trudy Holand moved to adopt the agenda, and Timothy Hays seconded the motion. Motion
carried.
3) MINUTES:
Timothy Hays moved to approve the minutes of the 5/21/26 meeting as amended. Darra
Boyd seconded the motion. The minutes were unanimously approved.
4) ETHICS TRAINING:
First Deputy Town Attorney Magana Reported: Timothy Hays is due for training. Some
others are now due; one overdue person submitted ethics training. New Interns are helping
to reach out to those outstanding. [PLEASE SEE TRUDY FOR MORE DETAILS]
5) FINANCIAL DISCLOSURE FORMS:
First Deputy Town Attorney Magana Reported: All complete, nothing outstanding, next
batch to go out by March 2027. There’s been 100% compliance over the last two years.
6) CODE OF ETHICS AMENDMENTS:
Any further discussion was tabled to next meeting as the BoE determined that the current
Secretary, Seth Segall, needed to be present at the meeting to answer any pert

1) The meeting was convened at 6:32 p.m. The roll was called, and a quorum of the Board of
Ethics (BoE) was present.

Darra Boyd moved to accept the minutes of the 4/16/26 meeting.

First Deputy Town Attorney Magana reported: Five (5) people have recently become due for
training. The office is now sending messages reminding those individuals who have not
completed their training to do so. No one is significantly overdue; some trainings came up in

First Deputy Town Attorney Magana reported: Before the deadline, eight (8) were missing

minutes. There were none. On a motion made by Ms. Curcio and seconded by Mr. Riobo, the
minutes were unanimously approved.

a. Chairperson O’Shea reported on various correspondence items, including: (1) the New York State
CLG Performance Evaluation responded to by staff on behalf of the Board was deemed fully
satisfactory by New York State and, therefore, the Town is in good standing with respect to its
CLG status; (2) a request to find out if the architectural office of Stephen Tilly would be able to
assist the Board; (3) a request to add the build date information to future Building Department and
Planning & Zoning Depar

Malara, Esq., Volunteer Counsel; Amanda Magana, Esq., First Deputy Town Attorney; Ms. Jillian Marciante, Official Court Reporter; Detective Michael Marino, Greenburgh Police Department. 1) The meeting was convened at 6:31 p.m. The roll was called and a quorum of the Board of Ethics (BoE) was present. 2) AGENDA: Secretary Segall moved to adopt the agenda and Ms. Boyd seconded the motion. The agenda was unanimously adopted. 3) MINUTES: Ms. Boyd moved to accept the minutes of the 3/19/26 meeting and Ms. Holand seconded the motion. The minutes were unanimously accepted. 4) ETHICS TRAINING: First Deputy Town Attorney Magana reported that three (3) of the four (4) ethics trainings that were due last month have been completed. A notice has been re-sent to the one remaining person whose training is still outstanding. 5) FINANCIAL DISCLOSURE FORMS: First Deputy Town Attorney Magana reported that requests to complete 2026 Financial Disclosure Forms were sent out in mid-March and are due to be completed by May 15. 30, 2026, and was held in-person at Town Hall, located at 177 Hillside Avenue, Greenburgh, New York, and

1) The meeting was convened at 7:01 p.m. The roll was called and a quorum of the Board of
Ethics (BoE) was present.
2) AGENDA:
Andrea Reed moved to adopt t he agenda with a correction to the date on the agenda.
Darra Boyd seconded the motion. The agenda was unanimously adopted with the
corrected date.
3) MINUTES:
Darra Boyd moved to accept the minutes of the 2/26/26 meeting.

First Deputy Town Attorney Magana Reported: Some employees are recently due for
training. Currently the Town has received 4 training certificates, with 2 remaining
outstanding. All the Employees with outstanding Ethics training have been followed
up with. This status update is for Ethics Training ONLY, with no deadline in the Code
to complete this training, the BoE can notify the Town Board of those employees who
are outstanding.

a. February 10, 2026 Meeting — Chairperson O’ Shea had one correction on Pg. | of the draft minutes
related to the 95 Ardsley Road project. On a motion made by Mr. Riobo and seconded by Ms.
Curcio, the minutes were unanimously approved, as amended.
2. CORRESPONDENCE/EMAILS/MEETINGS
a. Chairperson O’Shea asked if Board members would support a request to the Town Board to
provide for one (1) or two (2) Alternate H&LPB members. The group agreed that this would assist
H&LPB in conducting regularly scheduled meetings and meeting quorum requirements, and that
this request would be similar to what other Boards of the Town have done recently.
On a motion made by Ms. Purdy and seconded by Mr. Riobo, the H&LPB unanimously voted to
support a request to the Town Board that Chapter 235 of the Town Code be amen

1 MINUTES Town of Greenburgh Board of Ethics Thursday, February 26, 2026 Greenburgh Town Hall, Lee F. Jackson Conference room Board Members Present: Timothy Hays, Chair; Seth Segall, Secretary; Trudy Holand, Member, Darra Boyd, Member; Andrea Reed, Alternate Member; Sharon Makower Esq., Alternate Member. Also Present: Joseph S. Malara, Esq., Volunteer Counsel; Amanda Magana, Esq., First Deputy Town Attorney; Ms. Jillian Marciante, Official Court Reporter; Detective Michael Marino, Greenburgh Police Department. 1) The meeting was convened at 6:32 p.m. The roll was called and a quorum of the Board of Ethics (BoE) was present. 2) AGENDA: Ms. Holand moved to adopt the agenda with a correction to the date on the agenda. Chair Hays seconded the motion. The agenda was unanimously adopted with the corrected date. 3) MINUTES: Ms. Holand moved to accept the minutes of the 1/22/26 meeting and Ms. Makower seconded the motion. (Ms. Makower was able to second as an alternate as Ms. Boyd had not yet arrived at the meeting). The minutes were unanimously accepted. 4) ETHICS TRAINING: First Deputy Town Attorney Magana reported that everyone is in compliance. 5) FINANCIAL DISCLOSURE FORMS: First Deputy Town Attorney Magana reported that all financial disclosure forms have been completed. February 18, 2026, and was held in-person at Town Hall, located at 177 Hillside Avenue, Greenburgh, New

Board Members Present: Timothy Hays, Chair; Seth Segall, Secretary; Trudy Holand, Member, Darra Boyd, Member; Andrea Reed, Alternate Member.

The meeting was convened at 6:32 p.m. The roll was called and a quorum of the Board of Ethics (BoE) was present.
ELECTIONS: Secretary Segall nominated Mr. Hays to be Chair and Ms. Holand seconded the nomination. There were no other nominations. Mr. Hays was unanimously elected Chair. Ms. Holand nominated Mr. Segall to be Secretary and Ms. Boyd seconded the nomination. There were no other nominations. Mr. Segall was unanimously elected Secretary.
ADOPTION OF BoE RULES AND REGULATIONS: The Chair moved that the Internal Rules and Regulations as revised on 6/26/13 be readopted for 2026. Secretary Segall suggested two amendments to those rules: 1) that Section 5 acknowledge that Members of Agencies and Town Employees also have standing to request opinions and make complaints to the Boe so that his section is concordant with §570-11(d) of the CoE, and 2) that the acronym “RRV” contained in the document be defined.
